International DEVELOPMENT & FRANCHISE PROGRAM

After the success of its main restaurants in Paris, London, and Barcelona, Dans le noir? is expecting to open in NYC in November 2011(Times Square). Dans le Noir? also developed a few new concepts in addition to their dining in the dark restaurants; “Dans le Noir ? le Spa” (opened in Paris in March 2011) ,and Silence Café (to open in late 2011 in Barcelona). As well, the restaurant concept is expanding worldwide thanks to a newly developed Franchise program.
In larger cities we have set up a franchise styled program in order to work closely with local entrepreneurs, or groups interested in setting-up the concept in their own city.
Dans le Noir successfully opened a new franchise in Saint Petersburg.
In smaller cities, we offer the chance for small companies or individuals to invest into the mainframe of Dans le Noir?; we set up temporary restaurants as events, such as the one we established in Lille (October-January 2007), Warsaw (February -December 2008), Bangkok (June 2009 with Accor Group), and Geneva (2008 and 2010).

Investment Support

The Ethik Investment Group will be happy to support serious projects all over the world. The Group is able to provide 20-70% of the projects capital, depending on the business plan and locality. Our only stipulation is that the local investor must manage the project, and will be involved in the international management team.

Set-up, Management, Training & Franchising

A license to exploit the concept and the brand "Dans le Noir?" cannot be attained through a simple franchise contract. In view of complexity, we offer our international investors a formula of a turnkey exploitation set-up, followed by training and management assistance. Priority will be given to investors who, by the extent of their local connections and logistical capabilities, can help speed up the implementation process.
The investors are required to strictly follow the codes of conduct and the ethic of the company (this includes the everyday running of the restaurant).

Research Stage

The establishment of a "Dans le Noir ?" Bar, Restaurant & Lounge depends on specific local conditions.
Ethik Investment can take care of the research stage and investigation of the project and then present to the investors a complete feasibility report. The file will contain an evaluation of the necessary investments as well as economic data and financial forecasts. The licenser has a charge of $12.600 for this research stage. This charge can be discounted from the entrance fee if the project goes through. The payment shall be completely settled by the time of order. Investors shall cover all the technical, administrative and travel expenses.

The Brand and Services Concession Costs (summary)

The set of the rights and services are given for a period of 10 years and can be renewed. An entrance fee of $56.000, and an annual franchise fee of 4.6% of the turnover with a minimum of $40.600 is expected by the licenser. An additional $28.000 excl. tax consulting fee will be charged before the opening of a restaurant in order to cover recruitment, training and logistic organization.
All other consulting requested by the Licensee will be charged $1.100 excl. Tax per day. The Licensee will pay related living and transportation costs.
All technical, administrative and everyday expenses as well as those of moving and accommodation at the time of the interventions will be at the charge of the Licensee. A guarantee deposit of $25.200 will be required for each franchise at the signing of the contract and will be reimbursed in the case of termination of the contract after paying all the due fees to the licenser.
Franchise for “Dans le Noir le Spa” and “Silence Café” will be available in 2012 only.
Dans le Noir is also developing merchandising products such as high quality Fair Trade and Organic Clothes and wine selection. Conditions have to be discussed country by country.
